These Terms of Service (“Terms”) govern the use of products and services provided by Yigu Socks (乙谷袜业), a professional sock manufacturing and trading enterprise established in 2007, located in Zhejiang Province, China.

By placing an order, accessing our website, or engaging in any business transaction with Yigu Socks, you agree to be bound by these Terms.

2. Scope of Application
These Terms apply to all wholesale orders, OEM/ODM manufacturing agreements, sample orders, export transactions, and related services provided by Yigu Socks.

3. Orders & Confirmation
All orders must be confirmed in writing (email, contract, or platform order). Production begins only after order confirmation and deposit payment if applicable. Custom OEM/ODM orders are subject to approved specifications, samples, and final confirmation.

4. Pricing & Payment Terms
Prices are quoted in USD unless otherwise stated. Payment terms may include T/T, PayPal, or other agreed methods. Standard terms include deposit before production and balance before shipment unless otherwise agreed. Yigu Socks reserves the right to adjust pricing due to material cost fluctuations prior to order confirmation.

5. Production & Delivery
Lead time depends on order quantity, customization level, and production schedule. Delivery dates are estimates and may vary due to material supply, logistics, or force majeure events. Risk transfers to the buyer once goods are handed to the carrier or freight forwarder.

6. Quality Control
All products undergo strict inspection before shipment. Minor variations in color, texture, or size may occur within acceptable industry standards and do not constitute defects.

7. Warranty & Returns
Warranty coverage applies only to confirmed manufacturing defects. Returns are accepted only for verified quality issues in accordance with the Warranty Policy. Claims must be supported with order details and evidence such as photos or videos.

8. Intellectual Property
All designs, samples, and customized developments remain subject to agreed ownership terms. Without written authorization, customers may not reproduce, distribute, or resell proprietary designs or materials developed by Yigu Socks.

9. Confidentiality
Both parties agree to maintain confidentiality of all business information, including pricing, designs, production methods, and commercial terms, and shall not disclose such information to any third party.

10. Limitation of Liability
Yigu Socks shall not be liable for indirect, incidental, or consequential damages. We are not responsible for delays caused by logistics, customs clearance, or force majeure events, nor for damages arising from improper use or handling after delivery.

11. Force Majeure
Yigu Socks shall not be liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, war, strikes, pandemics, or government actions.

12. Governing Law
These Terms shall be governed by the laws of the People’s Republic of China. Any disputes shall first be resolved through amicable negotiation. If unresolved, disputes shall be submitted to the competent court in the jurisdiction where the company is located.

13. Amendments
Yigu Socks reserves the right to update or modify these Terms at any time without prior notice. The latest version shall apply to all transactions.
